Scope note. These Terms govern the Regulatory Horizon Tracker application at app.mirelisfood.com. They are separate from the website terms at mirelisfood.com/terms.html (which govern the marketing site and early consulting intake) and from any signed Tracker Subscription Order Form, Master Services Agreement (MSA), Statement of Work, or Data Processing Addendum (DPA). Where a signed agreement between you (or your organization) and Mirelis conflicts with these Terms, the signed agreement controls for that subscription.
1. Agreement to these Terms
By creating an account, accessing, or using the Service, you agree to these Terms of Service (“Terms”). If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization, and “you” refers to that organization. If you do not agree, do not access or use the Service.
These Terms incorporate by reference the Privacy Policy for the Service.
2. The Service — what it is
The Regulatory Horizon Tracker is a subscription, business-to-business software product that monitors and organizes publicly available US food-regulatory developments — including activity from the U.S. Food and Drug Administration (FDA), U.S. Department of Agriculture / Food Safety and Inspection Service (USDA/FSIS), Federal Trade Commission (FTC), and Alcohol and Tobacco Tax and Trade Bureau (TTB), along with state-legislature activity nationwide. The Service presents these developments as structured, filterable entries with effective and compliance dates, source links, and status classifications and, where enabled under a written order or controlled pilot, periodic email digests of changes.
The Service is delivered through a dashboard where authorized users can browse entries, apply filters by category, jurisdiction, and agency, and save filter combinations (“saved views”) and bookmark individual entries for repeated use.
Access model. The Service is currently offered on an invite-only basis. Founding Access is provisioned for one named user. Organization workspaces, shared resources, scheduled digests, and custom monitoring are available only through a written controlled pilot and are activated after the applicable validation and provisioning steps. There is no public self-service sign-up at this time. Mirelis may change the access model in the future.
3. The critical disclaimer — informational monitoring only, not advice
The Service is an informational regulatory-monitoring tool. It is not legal advice, regulatory advice, or compliance advice, and it does not create an attorney–client, consultant–client, or any other professional-advisory relationship.
You expressly acknowledge and agree that:
- No advice. Mirelis is not a law firm, is not your attorney, is not a certification body, and is not a government agency. Nothing in the Service — no entry, summary, classification, date, status badge, digest, or other output — constitutes legal, regulatory, or professional advice, or an opinion on how any law, rule, or requirement applies to your products, your business, or your specific situation.
- No guarantee of completeness, accuracy, or timeliness. Mirelis draws on automated monitoring of public sources and human review, both of which can miss items, misclassify items, contain errors, or lag behind real-world developments. Mirelis does not warrant or guarantee that the Service is complete, accurate, current, error-free, or that any particular regulatory development has been captured, captured correctly, or captured within any particular timeframe. Regulatory information changes constantly and primary sources control.
- Not a substitute for counsel or for primary sources. The Service is a starting point for awareness, not an endpoint for decisions. You must independently verify any regulatory development against the official primary source (e.g., the Federal Register, the relevant agency, the relevant legislature, or the Code of Federal Regulations) and consult qualified legal or regulatory counsel before making any compliance, labeling, formulation, commercialization, or other business decision. Mirelis is not responsible for decisions you make in reliance on the Service.
- Your responsibility. You remain solely responsible for your regulatory compliance, your labeling and product decisions, your final use of any information obtained through the Service, and for obtaining independent professional review where appropriate.
This disclaimer is fundamental to the bargain between you and Mirelis and survives any termination of these Terms.
4. Eligibility and accounts
- Eligibility. You must be at least 18 years old and capable of forming a binding contract. The Service is intended for business and professional use, not for consumers acting in a personal capacity.
- Account information. You must provide accurate account information (such as your name, email address, and organization) and keep it current.
- Credentials and security. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Do not share credentials. Notify us promptly at contact@mirelisfood.com if you suspect unauthorized access.
- Seats and organizations. Subscriptions are licensed per the seat count and tier in your order. You may not exceed your licensed seats or allow access by anyone outside your organization except as your subscription permits (for example, team members you are entitled to invite).
5. Acceptable use
You agree not to, and not to permit anyone to:
- Use the Service for any unlawful, infringing, deceptive, or abusive purpose;
- Share, resell, sublicense, redistribute, or commercially exploit the Service or its content outside your organization, or provide access to anyone who is not an authorized user under your subscription;
- Scrape, crawl, harvest, bulk-export, or systematically extract data or content from the Service except through functionality Mirelis expressly provides;
- Reverse engineer, decompile, or attempt to derive source code or underlying data structures, except to the extent this restriction is prohibited by law;
- Circumvent or attempt to circumvent authentication, access controls, rate limits, tenant isolation, or usage restrictions;
- Introduce malware, interfere with or disrupt the integrity or performance of the Service, or attempt to gain unauthorized access to the Service or related systems;
- Use the Service to build or train a competing product or dataset, or to benchmark for a competitor; or
- Remove, obscure, or alter any proprietary notices.
Mirelis may suspend access immediately to address a material acceptable-use violation or a security or legal risk.
6. Intellectual property and license
- Mirelis ownership.The Service, including its software, design, dashboard, the compilation and arrangement of regulatory entries, classifications, summaries, status logic, and all associated intellectual property, is owned by Mirelis or its licensors and is protected by intellectual-property laws. Underlying public-domain regulatory source material is not owned by Mirelis, but Mirelis’s selection, organization, classification, and presentation of that material is proprietary.
- License to you. Subject to these Terms and your payment of applicable fees, Mirelis grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your own internal business purposes during your subscription term.
- Internal use of outputs.You may view, and export where the Service provides export functionality, regulatory entries and reports for your organization’s internal business use (including sharing within your organization and with your own professional advisors). You may not publish, redistribute, or make the Service’s content available to third parties as a substitute for a subscription.
- Your content.You retain ownership of the content you create within the Service, such as saved views, bookmarks, and any preferences you enter (“Your Content”). You grant Mirelis a limited license to host, process, and display Your Content solely to operate and support the Service for you.
- Feedback. If you give Mirelis feedback or suggestions, Mirelis may use them without restriction or obligation to you.
7. Fees and billing
- Billing models. The Service is sold through two billing paths: self-service billing— an invited Founding Access user may purchase through checkout processed by Stripe, Inc.; the pricing, renewal, and cancellation terms presented at checkout, together with Stripe’s payment processing, apply; and written pilot / invoiced billing — an Organization Pilot may be billed under its written scope or order, including by invoice with banking through Mercury. Mirelis provisions pilot access only after the agreed activation conditions are satisfied. The fees, term, capabilities, and payment method are those stated in the written pilot scope or order.
- Pricing. Current subscription pricing is published at mirelisfood.com/pricing. Current Founding Access is $399 per month for one named user, billed monthly. Where the checkout and pricing page display a first-invoice promotion, that promotion is applied under its stated terms. Organization Pilot pricing, if any, is stated only in the applicable written pilot scope or order; no generally available organization price, annual plan, or trial is offered by these Terms.
- Taxes.Fees are exclusive of any applicable taxes; you are responsible for taxes other than Mirelis’s income taxes.
- Refunds. Except where required by law or stated in your order, fees are non-refundable once a subscription term has begun. On termination for convenience, no refund is owed for the then-current paid period, and access continues through the end of that paid period unless a written order states otherwise.
- Non-payment. Mirelis may suspend or terminate access for overdue amounts after reasonable notice.
8. Service availability and changes
Mirelis aims to keep the Service available and current but does not guarantee uninterrupted or error-free operation. Mirelis may modify, add, or remove features; perform maintenance; and change the scope of monitored sources or jurisdictions over time. Mirelis will use reasonable efforts to avoid materially degrading core functionality during a paid term. No uptime, availability, or coverage service-level agreement (SLA) is offered at this time; any SLA that Mirelis later commits to will be stated in a separate written agreement or order.
9. Third-party services and sources
The Service relies on third-party infrastructure providers (its subprocessors are identified in the Privacy Policy) and links to third-party primary sources (government websites, the Federal Register, legislatures, etc.). Mirelis does not control and is not responsible for the availability, accuracy, or content of third-party sites or services, and your use of them may be subject to their own terms.
10. Warranty disclaimer
The Service and all content are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, Mirelis disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty arising from course of dealing or usage of trade. Without limiting Section 3, Mirelis does not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service or its content is accurate, complete, current, or reliable for any purpose. No advice or information obtained from Mirelis or through the Service creates any warranty not expressly stated here.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.
11. Limitation of liability
To the fullest extent permitted by law:
- No indirect damages. Neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, loss of goodwill, business interruption, or the cost of substitute services, arising out of or relating to the Service or these Terms, even if advised of the possibility of such damages and regardless of the theory of liability.
- Liability cap.Mirelis’s total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the total fees you paid to Mirelis for the Service in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).
- Reliance carve-out. Because the Service is informational only (Section 3), Mirelis is not liable for any loss arising from your reliance on, action taken on, or decision based upon any entry, summary, classification, date, omission, or other output of the Service, including any regulatory development that is missing, late, or inaccurately characterized.
- Essential basis. These limitations are an essential element of the bargain and apply even if a limited remedy fails of its essential purpose.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.
12. Indemnification
You will defend, indemnify, and hold harmless Mirelis and its member, personnel, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Service in violation of these Terms or applicable law; (b) Your Content; (c) your breach of these Terms; or (d) your reliance on the Service in a manner contrary to Section 3. Mirelis will notify you of the claim, allow you to control the defense (with Mirelis’s reasonable cooperation at your expense), and may participate with its own counsel at its own cost. You may not settle any claim in a way that imposes liability or an admission on Mirelis without Mirelis’s prior written consent.
13. Term, suspension, and termination
- Term. These Terms apply for as long as you have an account or use the Service, and for any subscription term stated in your order.
- Auto-renewal. Subscriptions renew automatically for successive periods equal to the then-current term until cancelled. Self-service subscriptions: you may cancel at any time in the Service (Billing → Manage billing) or by emailing contact@mirelisfood.com; cancellation stops future renewals and takes effect at the end of the then-current paid period, which is not pro-rated (see §7 Refunds). Invoiced subscriptions and Organization Pilots: renewal and non-renewal are governed by the applicable written order or pilot scope. Where that document uses the Mirelis standard, either party gives written notice of non-renewal at least 10 business days before the end of the then-current term.
- Termination by you (for convenience). You may stop using the Service at any time. Self-service subscribers cancel as described above, effective at the end of the current paid period. Invoiced subscribers and pilot participants may terminate per the notice terms of their written order or pilot scope. The refund posture in §7 applies.
- Termination or suspension by Mirelis. Mirelis may suspend or terminate your access for breach of these Terms, non-payment, legal or security risk, or if Mirelis ceases offering the Service. For termination for cause (such as a breach), Mirelis will give written notice and a 10-business-day period to cure where the breach is curable; Mirelis may suspend immediately to address a security or legal risk.
- Effect of termination. On termination, your license ends and you must stop using the Service. Sections that by their nature should survive — including Sections 3 (Disclaimer), 6 (IP, as to ownership), 10 (Warranty disclaimer), 11 (Limitation of liability), 12 (Indemnification), 14 (Governing law), and this sentence — survive. Data handling on termination is described in the Privacy Policy and any applicable DPA.
14. Governing law and disputes
These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Arizona for any dispute not otherwise subject to a binding agreement between the parties, except that Mirelis may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
15. Changes to these Terms
Mirelis may update these Terms from time to time. If a change is material, Mirelis will provide reasonable notice (for example, by email to the address on your account or by posting in the Service) before it takes effect. Your continued use of the Service after the effective date of an updated version constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Service.
16. General
- Entire agreement. These Terms, the Privacy Policy, and any signed order form, MSA, or DPA are the entire agreement between you and Mirelis regarding the Service and supersede prior understandings on that subject.
- Order of precedence. If there is a conflict, a signed order form / MSA / DPA controls over these Terms, and these Terms control over the Privacy Policy except on matters of data handling, where the Privacy Policy and any DPA control.
- Assignment.You may not assign these Terms without Mirelis’s consent; Mirelis may assign them in connection with a merger, acquisition, or sale of assets.
- Severability and waiver. If any provision is unenforceable, the rest remains in effect; a failure to enforce a provision is not a waiver.
- Independent contractors. The parties are independent; these Terms create no partnership, agency, or employment relationship.
- Force majeure. Mirelis is not liable for delays or failures caused by events beyond its reasonable control.
